  • This is the entire agreement between you and DAC for your use of the services. It supersedes any prior agreements between you and DAC regarding your use of the services. All parts of this agreement apply to the maximum extent permitted by relevant law. If any provision of these Terms shall for any reason be invalid or unenforceable, the remaining provisions of these Terms shall be interpreted so as to reasonably effect the intent of the parties. Any such invalid or unenforceable provisions in these Terms shall be deemed replaced with valid and enforceable provisions that, to the extent possible, fulfill the business purposes and intent of such invalid and unenforceable provisions

    In addition and without limiting the foregoing paragraph, some U.S. states and foreign countries may provide rights in addition to those provided in the above Disclaimer of Warranty and Limitation of Liability section or do not allow the exclusion or limitation of implied warranties or liability for incidental or consequential damages. Therefore, the limitations set forth in the above Disclaimer of Warranty and Limitation of Liability section may not apply to you or there may be state or country specific provisions that superseded such limitations.   • End of Use
  • Unless otherwise specified, the user retains ownership of any data, content, or information that the user has provided to DAC.

    Return of User Information

    After termination or expiration of this Agreement, at the user's request, DAC will make reasonable efforts to provide any user information to the user for archiving purposes. If made available, the user must repossess/retrieve the information within 30 days of termination or expiration. After that, DAC may delete, remove, discard, or expunge the information.

    DAC will return any data or information that rightfully belongs to the user upon the expiration or termination of this Agreement. DAC will no longer archive or act as a record-keeper for any information related to the user. Accordingly, DAC is not responsible for any user information that is lost, altered, intercepted or stored across networks not owned or operated by DAC.

    Confidentiality

    All confidentiality obligations of the user, all restrictions and limitations imposed on the user, and all limitations of liability and disclaimers and restrictions of warranty shall survive termination of this Agreement. DAC agrees that all technical and financial information it obtains from the user may constitute confidential property of the user, provided that it has been identified as confidential at the time of disclosure or should be reasonably known by DAC to be confidential information due to the nature of the information disclosed and the circumstances surrounding the disclosure. Any software, documentation or technical information provided by DAC, performance information relating to our software, and the terms of this Agreement shall be deemed confidential information of DAC.

    DAC's nondisclosure obligation shall not apply to information: (a) rightfully in our possession or known to us prior to receipt of the confidential information; (b) that has become public knowledge through no fault of DAC; (c) rightfully obtained by DAC Party from a third party without breach of any confidentiality obligation; (d) independently developed by DAC employees who had no access to such information; or (e) required to be disclosed pursuant to a regulation, law or court order (to the extent required to comply with such regulation and with advance notice to the user).
